TERMS AND CONDITIONS

In order to register for the Square Enix MEMBERS Rewards Program (the “MEMBERS Rewards Program”) and to access and use the MEMBERS Rewards Program on the Square Enix Store website (the “Store”), you must agree to the Square Enix MEMBERS Regards Program Terms and Conditions as follows:

THIS DOCUMENT IS AN INTEGRAL PART OF THE STORE’S TERMS AND CONDITIONS OF SALE AND DOES NOT CONSTITUTE AN INDEPENDENT AGREEMENT. THE TERMS DEFINED IN THE TERMS AND CONDITIONS OF SALE HAVE THE SAME MEANING IN THESE TERMS AND CONDITIONS. BY USING THE SQUARE ENIX MEMBERS REWARDS PROGRAM OR ACCEPTING THESE TERMS AND CONDITIONS, YOU ACCEPT THE SQUARE ENIX STORE PRIVACY POLICY, SQUARE ENIX STORE TERMS AND CONDITOINS OF SALE, SQUARE ENIX PRIVACY POLICY, SQUARE ENIX TERMS OF SERVICES, AND ALL OTHER APPLICABLE SQUARE ENIX POLICIES AND TERMS OF USE.

The MEMBERS Rewards Program is a loyalty program integrated in the Square Enix Store (since February 17, 2015) that gives back to our loyal customers for shopping and participating in activities planned throughout the year.

ELIGIBILITY

No purchase is necessary to join the MEMBERS Rewards Program. Nevertheless, MEMBERS must be eligible to create an Account in accordance with the Terms and Conditions of Sale. Minors must obtain the consent of their parent or legal guardian prior to participation in the MEMBERS Rewards Program. All MEMBERS must be 13 or older. The MEMBERS Rewards Program is limited to individual membership only, and is limited to one membership account per natural person.

The MEMBERS Rewards Program is void where prohibited or restricted by law.

ENROLLMENT

By creating an Account on the Store, MEMBERS accept, or the parent or legal guardian of a participating minor accepts, to be bound to these Terms and Conditions.

In order to enroll as a member of the MEMBERS Rewards Program (a “Member”), you must create an Account on the Store and agree to the policies provided.

MEMBERS will be identified by their Account identifier. In order to receive MEMBERS Points for Qualifying Actions (as defined below) or to inquire about Account balance, MEMBERS may be requested to show suitable identification in order to assist with verification of Account ownership and to assist with the protection and safeguarding of personal information.

ELIGIBILITY TO REWARDS

The MEMBERS Rewards Program digital and physical goods content and rewards are available to all MEMBERS residing in the territories to which the North American Store ships products. To properly credit your Account with the MEMBERS Points or MEMBERS Badges (as defined below), you must be logged in your Account before performing any Qualifying Action (as defined below).

REWARDS / EARNING POINTS

MEMBERS can earn points (the “MEMBERS Points”) by making qualifying actions (the “Qualifying Actions”) on the Store such as purchases or any other actions Square Enix determine as eligible. MEMBERS Points will not be earned for any monetary redemption, gratuities, or delivery charges paid, for purchases of any Square Enix products outside the offered rewards on the Store. Square Enix in its sole discretion may also award MEMBERS Points and other rewards for specific MEMBERS’ statuses or special events. Each Qualifying Action on the Store is attributed a number of MEMBERS Points, attributed at the sole discretion of Square Enix.

MEMBERS Points will be credited to your Account at the time of the validation of the corresponding Qualifying Action. For purchases, the amount of MEMBERS Points earned will be displayed on the MEMBERS receipt for the transaction. The MEMBERS Points will be credited to the MEMBERS account only when the transaction is confirmed and validated by Square Enix. Transactions are considered validated when the debit of the total amount is successful. For pre-orders, MEMBERS Points will be credited only when the total amount due is successfully debited.

MEMBERS are solely responsible for notifying Square Enix of any actual or perceived discrepancies or omissions with regard to the MEMBERS Points earned. Adjustments will be made in Square Enix’s sole discretion.

Square Enix reserves the right to determine the amount of MEMBERS Points in any MEMBERS Account based on Square Enix’s internal records related to such MEMBERS Account. The MEMBERS Points balance, displayed in Square Enix’s internal records, shall be deemed to be the correct balance. In the event of an inconsistency between the amount of MEMBERS Points accrued in a MEMBERS Account or receipt and Square Enix’s internal records, Square Enix’s internal records will control.

Product registration cards with unique codes found or issued prior to February 17, 2015 are no longer eligible for the MEMBERS Rewards Program or for the acquisition of MEMBERS Points.

BONUS MEMBERS POINTS

Square Enix may run bonus MEMBERS Points promotions (the "Bonus Points Promotions") under which MEMBERS will be able to earn additional or bonus MEMBERS Points (the "Bonus Points") in connection with certain Qualifying Actions or in connection with other specially designated, limited time promotions such as specially designated bonus reward shopping days (the "Bonus Reward Days"). During and in connection with such Bonus Point Promotions and Bonus Reward Days, MEMBERS will earn bonus points on each Qualifying Action only as specified in the corresponding offer. Bonus Point Promotions and Bonus Reward Days are subject to the terms and conditions of the corresponding offer and may be offered at any time in Square Enix's sole discretion.

MEMBERS POINTS BALANCE TRACKING

MEMBERS may access their MEMBERS Points balance through their Account, on the Store, or by contacting customer support.

MEMBERS BADGES

Square Enix may award MEMBERS badges (the “MEMBERS Badges”), defined and arbitrarily modifiable by Square Enix. MEMBERS Badges may unlock levels of rewards accessible to MEMBERS.

POINTS REDEMPTION

MEMBERS Points may not be redeemed for any monetary value or for any Square Enix product sold on or off the Store. Square Enix MEMBERS Rewards Program’s rewards are not for sale and non-transferable. Square Enix does not recognize and cannot be held responsible for any prize listed outside the Store.

MEMBERS Points accumulated on different Accounts of different MEMBERS MAY NOT be combined or aggregated.

MEMBERS Points may be redeemed only on a dedicated catalog of prizes and rewards on a special section of the Store or as otherwise expressly authorized by Square Enix (“Square Enix Rewards”). MEMBERS may be required to pay shipping fees and applicable taxes for Square Enix Rewards.

REAL MONEY TRADING

Real Money Trading (“RMT”) is the sale of MEMBERS Points, MEMBERS Badges, Accounts, or any virtual property to obtain real money. RMT activity is strictly prohibited. Square Enix may, in Square Enix’s sole discretion, permanently terminate the Account of any Member who Square Enix suspects or believes participated (directly or indirectly) in RMT.

POINTS EXPIRATION

MEMBERS Points will expire one year after the last Qualifying Action made to acquire a MEMBERS Point.

MEMBERS Points will also expire in the following cases:

  • Immediately, upon termination of the associated Account, or
  • Immediately upon the termination or suspension of the MEMBERS Rewards Program, or
  • Immediately, upon the suspension of the associated Account due to a violation of any of these Terms and Conditions, a violation of the Terms and Conditions of Sale, a violation of the Square Enix Privacy Policy, a violation of the Square Enix Terms of Service, a violation of any other Square Enix term of use or policy, or any illegal activity.

SWEEPSTAKES, CONTESTS AND OTHER QUALIFYING EVENTS

MEMBERS agree and accept to be bound by these Terms and Conditions by participating in the Store’s qualifying sweepstakes, contests, or other promotions (the “Qualifying Events”). These Qualifying Events may have rules or specific terms and conditions, which MEMBERS are required to read. By Participating in these Qualifying Events, MEMBERS agree and accept to be bound to those specific terms and conditions.

NON-TRANSFERABILITY OF POINTS, DEDUCTIONS DUE TO CANCELLATION

Orders, MEMBERS Points, MEMBERS Badges, and Rewards are not transferable from one Account to another. If a Member experiences difficulty accessing a previous Account or wishes to modify personal information, he/she may contact our customer support.

In the event a Qualifying Action is canceled (such as an order cancelation) or reversed, Square Enix reserves the exclusive right to deduct the MEMBERS Points and Badges awarded for the Qualifying Action. For the sake of clarity, order cancelation includes returned, refused, or refunded orders, orders that result in credit card chargebacks, as well as orders considered fraudulent.

Negative MEMBERS Points balance may occur after such deductions.

RESELLING SQUARE ENIX REWARDS

Square Enix Rewards are for a MEMBERS personal use and enjoyment. MEMBERS may not sell, resell, or otherwise transfer Square Enix Rewards in exchange for anything of value (“Reselling”). Square Enix may institute specific policies and procedures to prohibit or limit Reselling. Square Enix may suspend or terminate the Account of any Member, may remove MEMBERS Points from any Member, and may take any other action authorized by these Terms and Conditions or any other applicable policies or terms of use against a Member that Square Enix, in its sole discretion, believes to be Reselling Square Enix Rewards in violation of this section.

SUSPENSION / TERMINATION OF MEMBERSHIP AND MEMBERSHIP POINTS

Square Enix reserves the right in its sole discretion to suspend or revoke a MEMBERS Account on the Store (including suspending the MEMBERS ability to earn rewards with his/her MEMBERS Points and/or other rewards earned in connection with his/her membership in the MEMBERS Rewards Program) in the event of any violation of these Terms and Conditions (including the prohibition on reselling Square Enix Rewards), any violation of the Terms and Conditions of Sale, any violation of any other Square Enix policies or terms, any suspected misconduct, any fraud or abuse, and any actual or suspected illegal conduct. Further, if Square Enix concludes in its sole discretion that a Member has engaged in any of the foregoing or that his/her Account has been compromised, Square Enix may also (i) terminate the MEMBERS ability to earn MEMBERS Points and Badges, (ii) terminate the MEMBERS ability to exchange MEMBERS Points for Rewards and/or receive other rewards earned in connection with his/her membership, (iii) temporarily or permanently remove some or all MEMBERS Points and/or Badges from the Account, or (iv) take any other appropriate action.

The interpretation and application of these Terms and Conditions and the Terms and Conditions of Sale are at Square Enix’s sole discretion and determination.

SUSPENSION / TERMINATION / MODIFICATION OF THE MEMBERS REWARDS PROGRAM AND POLICIES

Square Enix reserves the right, in its sole discretion and at any time, to terminate or suspend the MEMBERS Rewards Program. If Square Enix terminates the MEMBERS Rewards Program, MEMBERS will no longer earn MEMBERS Points, Badges, or other rewards. Any MEMBERS Points or other rewards will expire as stated on the Store and in these Terms and Conditions. MEMBERS will not receive any compensation in the event of modification, termination, or suspension of the Square Enix MEMBERS Rewards Program.

Square Enix reserves the right, in its sole discretion and at any time, to modify or restrict the MEMBERS Rewards Program and any Square Enix policies, including but not limited to the Square Enix Privacy Policy, Terms of Service, Terms and Conditions of Sale, in whole or in part, or any aspect of the MEMBERS Rewards Program, in whole or in part, including but not limited to membership eligibility requirements, the MEMBERS Points earning, and the MEMBERS Point redemption and expiration policies. Square Enix may take any such action(s) without prior notice. Square Enix may make such changes even though such changes may affect the ability of MEMBERS, individually or collectively, to use MEMBERS Points and Rewards already accumulated. At all times, MEMBERS are solely responsible for remaining knowledgeable about, and in compliance with these Terms and Conditions.

LIMITED LICENSE

All aspects of the Store, the Account, and the MEMBERS Reward Program (including but not limited to MEMBERS Points and Badges) are owned by Square Enix or its licensors. You do not have any property rights in the Account, the MEMBERS Rewards Program, MEMBERS Points, Badges, any virtual items, etc. You acquire no ownership or property rights in such accounts or items, and are only licensed to use such accounts or items subject to the conditions set forth in these Terms and Conditions, the Terms and Conditions of Sale, and any other applicable Square Enix terms or policies. You agree that your Account and the MEMBERS Rewards program (including but not limited to MEMBERS Points and Badges) do not have any monetary value. Square Enix may suspend, terminate, modify, or delete Accounts, the MEMBERS Rewards Program, MEMBERS Points, Badges, Account names, virtual goods, or the service altogether, at any time for any reason or for no reason, with or without notice to you and without any liability to you.

LIMITATION OF LIABILITY AND DISCLAIMER

MEMBERS SHALL USE THE MEMBERS REWARDS PROGRAM AT THEIR OWN RISK. SQUARE ENIX (INCLUDING ITS CURRENT AND FUTURE AFFILIATES) AND ITS RESELLER, Scalefast, Inc., ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, AND/OR ANY OTHER DAMAGES OR LOSSES THAT MAY RESULT FROM ACCESSING THIS STORE OR USING ANY INFORMATION, SERVICES, OR MERCHANDISE PROVIDED. THE STORE, MEMBERS REWARDS PROGRAM, AND ANY INFORMATION ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND UNLESS SPECIFICLY PROVIDED BY SQUARE ENIX. Square Enix, its current and future affiliates, and the Reseller are not responsible for interrupted or unavailable network server or other connections, miscommunications, computer transmissions or jumbled, scrambled or misdirected transmissions, or for electrical, network, computer hardware, or software or program malfunctions, failures, or difficulties, or for other errors, omissions, interruptions, or deletions of any kind whether human, mechanical, or electronic or for any damage to any person’s computer, data, or property related to participating in the MEMBERS Rewards Program. Square Enix is not liable for the compensation of any MEMBERS Points or any other reward in the case of any error occurring in their account and purchases.

RELEASE

MEMBER HEREBY RELEASES AND AGREES TO INDEMNIFY AND HOLD HARMLESS Square Enix, its current and future affiliates, its Reseller Scalefast, Inc., and each of their shareholders, officers, directors, employees, contractors, agents, and representatives from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any intellectual property or personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to the MEMBERS participation in the MEMBERS Rewards Program, or the receipt, use or misuse, of MEMBERS Points or any other reward.

To the extent any provision of these Terms and Conditions is found to be invalid or unenforceable by a court or competent tribunal with jurisdiction, such provision shall be severed to the extent necessary for the remainder to be valid and enforceable.
